These Terms of Service (the "Terms") govern your access to and use of QuipIQ, a market-intelligence and decision-support platform operated by QuipIQ ("QuipIQ," "we," "us," or "our"). By creating an account, signing in, or otherwise using the service, you agree to be bound by these Terms. If you do not agree, do not use the service.
You must be at least 18 years old and able to form a binding contract to use QuipIQ. When you register, you agree to provide accurate information, keep your credentials secure, and promptly update any information that changes. You are responsible for all activity that occurs under your account, including activity by any team member you invite. Notify us at support@quipiq.com if you suspect unauthorized access.
Paid plans are billed in advance on a recurring basis (monthly or annual, as selected at checkout). Fees are non-refundable except where required by law or expressly stated by us. You authorize us and our payment processor to charge your designated payment method for all applicable fees, taxes, and renewals until you cancel. You may cancel at any time from your account settings; cancellations take effect at the end of the current billing period.

You retain all rights to the inventory lists, auction records, bids, ledger entries, listings, photos, and other content you submit ("User Content"). You grant QuipIQ a worldwide, non-exclusive, royalty-free license to host, process, display, and analyze your User Content solely to operate, improve, and support the service for you. We may use aggregated and de-identified data (which does not identify you or your account) to improve our models, publish benchmarks, and operate the service.
QuipIQ, the QuipIQ marks, the software, the website, the API, scoring models, documentation, and all related materials are owned by QuipIQ and are protected by copyright, trademark, and other laws. Except for the limited right to use the service in accordance with these Terms, no license or right is granted to you by implication or otherwise.
QuipIQ ingests data from public auction sources, listing platforms, and marketplaces, and integrates with third-party services (for example, email, cloud storage, and payment providers). Your use of those third-party services is governed by their own terms and privacy policies. QuipIQ is not responsible for the availability, accuracy, or practices of third parties.
We work to keep QuipIQ available, but we do not guarantee uninterrupted or error-free operation. We may add, modify, or remove features, change pricing, or discontinue the service (or any portion of it) at any time. For material adverse changes we will provide reasonable advance notice through the application or email.
Features labeled "beta," "preview," "experimental," or similar are provided "as is," may be unstable, and may be changed or removed without notice. Beta features are not covered by any service-level commitment.
The service is provided "as is" and "as available." To the fullest extent permitted by law, QuipIQ disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade. QuipIQ provides estimates, scoring, and decision-support tools; it does not guarantee resale value, profit, return on investment, auction outcomes, or any specific financial result. To the fullest extent permitted by law, QuipIQ and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to the service, even if advised of the possibility of such damages. QuipIQ's aggregate liability for any claim arising out of or related to the service will not exceed the greater of (a) the amount you paid to QuipIQ in the twelve (12) months preceding the event giving rise to the claim or (b) one hundred U.S. dollars (USD 100).
You agree to defend, indemnify, and hold harmless QuipIQ from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your User Content, your use of the service, or your violation of these Terms.
You may cancel your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or to protect the service or other users. Upon termination, your right to use the service ends immediately. Sections intended to survive (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration or small-claims court. Nothing in this section limits either party's right to seek injunctive relief in any court of competent jurisdiction.
We may update these Terms from time to time. If a change is material, we will notify you through the service or by email before it takes effect. Your continued use of the service after the effective date constitutes acceptance of the updated Terms.
